Milkify, Inc. (“Milkify,” “we,” “us,” or “our”) welcomes you. We provide access to our website and our Services (each as defined below) subject to these Terms and Conditions (these “Terms”). We may update these Terms from time to time as described in the “Amendments to These Terms” section below.

By browsing the public areas of the Website or by logging in to access our Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and by our Privacy Policy, which is incorporated by reference (collectively, this “Agreement”).

THESE TERMS CONSTITUTE A BINDING LEGAL CONTRACT BETWEEN YOU AND MILKIFY. IF YOU DO NOT AGREE TO ANY OF THESE TERMS, DO NOT USE THE WEBSITE OR ANY OF OUR SERVICES.

1. Agreement to Terms

These Terms govern your access to and use of the Services. By using the Services, you accept these Terms in full. If you disagree with any part of these Terms, you must not use the Services.

2. The Services

These Terms govern the following services, together or separately, the “Services,” provided by Milkify:

  • your use of our web page located at milkify.me (the “Site” or “Website”);
  • your use of our mobile application(s);
  • your use of any free trial or promotional offer made available by us, if any; and
  • all orders of our breast milk freeze-drying service (the “Milkify Service”).

Any free trial or promotional offer is subject to the specific terms posted with that offer and may be modified or withdrawn by Milkify at any time.

3. Eligibility

The Services are intended only for individuals who are at least eighteen (18) years old. By accessing or using the Website or any Service, you represent and warrant that you are at least eighteen (18) years of age, are of the age of majority in your jurisdiction, and have the full authority, right, and capacity to enter into and abide by this Agreement. If you are not at least eighteen (18) years old, you are prohibited from accessing or using the Website or any Service.

4. Accounts

When you create an account with us, you guarantee that the information you provide is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account.

You are responsible for maintaining the confidentiality of your account and password, including restricting access to your devices and account. You accept responsibility for all activities that occur under your account or password, whether with our Service or a third-party service. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

You may not use as a username the name of another person or entity, a name or trademark subject to the rights of another person or entity without appropriate authorization, or any name that is offensive, vulgar, or obscene.

We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders in our sole discretion.

5. Communications

By creating an account, you agree to subscribe to newsletters, marketing or promotional materials, and other information we may send. You may opt out of any or all of these communications at any time by following the unsubscribe link or by emailing info@milkify.me.

6. Purchases

If you wish to purchase any product or service made available through the Service (a “Purchase”), you may be asked to supply information relevant to your Purchase, including, without limitation, your payment card number and expiration date, your billing address, and your shipping information.

You represent and warrant that (i) you have the legal right to use any payment method used in connection with any Purchase, and (ii) the information you supply to us is true, correct, and complete.

We may use third-party services to facilitate payment and complete Purchases, and by submitting your information you authorize us to share it with these third parties subject to our Privacy Policy.

We reserve the right to refuse or cancel your order at any time for reasons including, without limitation, product or service availability, errors in the description or price of a product or service, errors in your order, or suspected fraud or an unauthorized or illegal transaction.

7. Refunds and Cancellations

Because the Milkify Service is a custom processing service performed on the Customer’s own breast milk, processed milk cannot be resold or returned.

Cancellations. A Customer may cancel an order at any time before Milkify has begun processing the Customer’s breast milk. If an order is cancelled, Milkify reserves the right to deduct or withhold from any refund all costs incurred by Milkify in connection with the order, including, without limitation, shipping and carrier costs, packaging and materials, kit costs, and payment-processing fees.

If the Customer has already shipped frozen breast milk to Milkify and then cancels the order before Milkify has begun processing the milk, the Customer must make arrangements to pick up the frozen breast milk from Milkify’s facility. Milkify will not ship frozen breast milk back to the Customer. If the Customer does not retrieve the frozen breast milk within thirty (30) days of cancellation, Milkify reserves the right to discard the milk in compliance with all applicable laws, rules, and regulations.

Once Milkify has begun processing the Customer’s breast milk, the order may not be cancelled.

Refund Window. Refund requests must be submitted within thirty (30) days of the date the processed milk is delivered to the Customer, as confirmed by carrier tracking. After this period, all sales are final and Milkify will not issue any refund, credit, or adjustment.

Customer Satisfaction. If a Customer is dissatisfied with a processed milk order, the Customer may request a refund, credit, or adjustment within the Refund Window. Milkify will review refund requests on a per-order basis and may issue a refund, credit, or adjustment in its sole discretion.

Per-Order Basis. Each order is evaluated independently. A refund request applies only to the specific order to which it relates and does not entitle the Customer to any refund, credit, or adjustment on any prior or subsequent order. Any order delivered more than thirty (30) days before the date of a refund request is final and ineligible for refund, regardless of any later or related order.

Costs Deducted from Refunds. Milkify reserves the right to deduct or withhold from any refund, credit, or adjustment any costs incurred by Milkify in connection with the order, including, without limitation, shipping and carrier costs, packaging and materials, kit costs, labor, and payment-processing fees.

Milk That Fails the Processing Standard. If the Customer’s breast milk fails to meet the Processing Standard and is discarded under the Quality Assurance section, Milkify will refund the processing fees paid for the discarded milk, subject to Milkify’s right to deduct or withhold costs incurred in connection with the order.

Chargebacks. The Customer agrees to contact Milkify to resolve any billing concern before initiating a chargeback or payment dispute. Initiating a chargeback for services properly rendered constitutes a breach of these Terms.

8. Quality Assurance

Milkify maintains stringent quality assurance protocols to ensure the safety and quality of the Milkify Service. A summary of the standard safety and quality measures we employ may be found on our Website (milkify.me).

To ensure the highest levels of quality and safety, Milkify will not process any breast milk that fails to meet the criteria for safe processing as determined by Milkify (our “Processing Standard”). Our Processing Standard includes, but is not limited to, the following criteria, determined at Milkify’s sole discretion:

  • the breast milk is stored in approved milk storage bags;
  • the milk storage bags have no visible rips, tears, or leaks; and
  • the breast milk, at the time of receipt by Milkify, is at a temperature of zero degrees Celsius (0°C) or below.

If any of the Customer’s breast milk fails to meet the Processing Standard, or cannot be freeze-dried for any other reason as determined by Milkify’s good-faith assessment, Milkify will promptly notify the Customer and will discard any affected unprocessed breast milk in compliance with all applicable laws, rules, and regulations.

9. Prohibited Uses

By ordering the Milkify Service, the Customer represents and agrees that the Customer will not:

  • use the Milkify Service in any way that violates any applicable local, national, or international law or regulation;
  • use the Milkify Service to exploit, harm, or attempt to exploit or harm minors in any way;
  • use the Milkify Service for anything other than personal use, such as providing milk to the Customer’s own child, including surrogated or adopted children;
  • use the Milkify Service for any illegal selling, swapping, or donating of powdered breast milk;
  • use the Milkify Service to engage in any commercial activity, including acting as an intermediary to provide the Milkify Service to third parties; or
  • otherwise attempt to interfere with the proper working of the Milkify Service.

If Milkify has reason to believe that a Customer has engaged in a Prohibited Use or otherwise violated these Terms, Milkify reserves the right to notify the proper authorities and any affected parties of the actual or potential breach.

10. Intellectual Property and Content

Content found on or through the Service is the property of Milkify or used with permission. You may not distribute, modify, transmit, reuse, download, repost, copy, or use such content, in whole or in part, for commercial purposes or personal gain without our express advance written permission.

The Milkify Service and its features and functionality are and will remain the exclusive property of Milkify, Inc. and are protected by copyright, trademark, and other laws of the United States. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

11. Error Reporting and Feedback

You may provide Milkify with information and feedback concerning errors, suggestions for improvements, ideas, problems, complaints, and other matters related to the Service (“Feedback”). You acknowledge and agree that: (i) you will not retain, acquire, or assert any intellectual property right or other right, title, or interest in or to the Feedback; (ii) Milkify may have development ideas similar to the Feedback; (iii) the Feedback does not contain confidential or proprietary information from you or any third party; and (iv) Milkify is under no obligation of confidentiality with respect to the Feedback. To the extent transfer of ownership of the Feedback is not possible under applicable mandatory law, you grant Milkify and its affiliates an exclusive, transferable, irrevocable, royalty-free, sublicensable, unlimited, and perpetual right to use, copy, modify, create derivative works of, publish, distribute, and commercialize the Feedback in any manner and for any purpose.

12. Links to Other Websites

The Service may contain links to third-party websites or services that are not owned or controlled by Milkify. Milkify has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services, and does not warrant their offerings.

YOU ACKNOWLEDGE AND AGREE THAT MILKIFY SHALL NOT BE RESPONSIBLE OR LIABLE, DIRECTLY OR INDIRECTLY, FOR ANY DAMAGE OR LOSS CAUSED OR ALLEGED TO BE CAUSED BY OR IN CONNECTION WITH THE USE OF OR RELIANCE ON ANY CONTENT, GOODS, OR SERVICES AVAILABLE ON OR THROUGH ANY SUCH THIRD-PARTY WEBSITES OR SERVICES. WE STRONGLY ADVISE YOU TO READ THE TERMS AND PRIVACY POLICIES OF ANY THIRD-PARTY WEBSITES OR SERVICES YOU VISIT.

13. Analytics

We may use third-party service providers, such as Google Analytics, to monitor and analyze use of the Service. Google Analytics tracks and reports website traffic, and Google may use the collected data to contextualize and personalize the ads of its own advertising network. 14. Disclaimer of Warranties

THE CUSTOMER, AND NOT MILKIFY, IS SOLELY RESPONSIBLE FOR THE PROPER AND SAFE (I) WASHING OF BREAST PUMP SUPPLIES AND (II) PACKAGING AND SEALING OF THE CUSTOMER’S BREAST MILK. THE CUSTOMER IS SOLELY RESPONSIBLE FOR FOLLOWING SAFE BREAST MILK EXPRESSION AND HANDLING GUIDELINES AS SET FORTH BY THE CDC, INCLUDING THE REQUIREMENT THAT FROZEN BREAST MILK, ONCE THAWED, IS IMMEDIATELY USED OR DISCARDED AND NEVER RE-FROZEN.

MILKIFY SHALL NOT BE HELD RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LIABILITY ARISING FROM DELAYS OR OTHER INCIDENTS RELATED TO THE SHIPPING OF FROZEN BREAST MILK TO MILKIFY. THE CUSTOMER ACCEPTS ALL RISK OF LOSS IN THE EVENT OF AN ACT OR OMISSION OF, OR THE CUSTOMER’S FAILURE TO FOLLOW, ANY OF THESE TERMS, INCLUDING THE CUSTOMER’S FAILURE TO PROPERLY PACKAGE AND SHIP THE MILK TO MILKIFY.

EXCEPT AS EXPRESSLY SET FORTH IN THESE TERMS, THE SERVICE AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” AND THE CUSTOMER AGREES TO USE THE MILKIFY SERVICE AT THE CUSTOMER’S OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY LAW, MILKIFY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

MILKIFY HAS MADE EVERY EFFORT TO DISPLAY ITS SERVICES, PRODUCTS, AND OTHER INFORMATION AS ACCURATELY AS POSSIBLE. INFORMATION APPEARING ON ANY WEBSITE, INCLUDING THE MILKIFY WEBSITE, MAY CONTAIN TECHNICAL INACCURACIES, TYPOGRAPHICAL ERRORS, OR OMISSIONS, AND MILKIFY IS NOT RESPONSIBLE FOR ANY SUCH ERRORS.

15. Health Disclaimer

We recommend that you consult a healthcare specialist prior to ordering the Milkify Service. Actual product packaging and materials may contain additional and different information than what is shown on the Milkify Website. The Customer agrees to always read the labels, warnings, and directions provided with any products received from Milkify before using or allowing any child under the Customer’s care to consume the product.

Milkify complies with applicable federal, state, and local laws, rules, and regulations concerning the handling and processing of human milk. Milkify also follows quality-control practices and other procedures regarding the processing of human milk that Milkify determines to be appropriate for the Milkify Service. Milkify cannot guarantee the safety of the product to the extent that a risk arises from the circumstances under which the milk was expressed, stored, packaged, shipped, or otherwise handled before receipt by Milkify.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL MILKIFY OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUBCONTRACTORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE MILKIFY SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT INCLUDING NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT MILKIFY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MILKIFY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE MILKIFY SERVICE WILL NOT EXCEED THE TOTAL AMOUNT PAID BY THE CUSTOMER TO MILKIFY FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM.

For clarity, if a Customer’s breast milk is lost, damaged, destroyed, contaminated, or otherwise rendered unusable while in Milkify’s custody, Milkify’s total liability will be limited to the total amount paid by the Customer to Milkify for the specific order giving rise to the claim. Milkify will not be liable for the replacement value, sentimental value, emotional value, biological value, nutritional value, or any other special, consequential, incidental, exemplary, or punitive damages associated with breast milk.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OR ALL OF THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU.

17. Indemnification

By ordering the Milkify Service, the Customer agrees to indemnify, defend, and hold harmless Milkify, Inc. and its respective employees, directors, officers, subcontractors, service providers, and agents against any and all claims, damages, costs, or expenses, including reasonable attorneys’ fees, that arise directly or indirectly from the Customer’s use of the Milkify Service in breach or violation of these Terms.

18. Force Majeure

Milkify will not be liable or responsible for any failure or delay in performing its obligations under these Terms where such failure or delay results from causes beyond Milkify’s reasonable control, including, without limitation, acts of God, natural disasters, severe weather, fire, flood, epidemic or pandemic, labor disputes, carrier delays or failures, disruptions to shipping or logistics networks, power or telecommunications failures, governmental actions, or other events of force majeure.

19. Dispute Resolution

Governing Law. These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-laws principles.

Informal Resolution. Before initiating any arbitration or legal proceeding, the Customer agrees to first contact Milkify at info@milkify.me and attempt in good faith to resolve the dispute informally for at least thirty (30) days.

Binding Arbitration. Except as set out below, any dispute, claim, or controversy arising out of or relating to these Terms or the Milkify Service that is not resolved informally will be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, conducted in Harris County, Texas, or by videoconference. Judgment on the award may be entered in any court of competent jurisdiction.

Class Action Waiver. The Customer and Milkify agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

Exceptions and Venue. Either party may bring an individual claim in small-claims court, and either party may seek injunctive or equitable relief in the state or federal courts located in Harris County, Texas, to which both parties consent to personal jurisdiction and venue.

20. Term and Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, in our sole discretion, for any reason, including a breach of these Terms. If you wish to terminate your account, you may simply discontinue using the Service.

All provisions of these Terms that by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, limitations of liability, and dispute resolution.

21. Changes to the Services

We reserve the right to withdraw or amend the Service, and any service or material we provide via the Service, in our sole discretion. We will not be liable if, for any reason, all or any part of the Service is unavailable at any time or for any period. From time to time, we may restrict access to some or all of the Service.

22. Amendments to These Terms

We may update these Terms from time to time. When we make changes, we will update the “Effective” date above and post the revised Terms on the Website. Changes are effective when posted. Your continued use of the Website or the Milkify Service after revised Terms are posted constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Website and the Milkify Service.

23. Waiver and Severability

No waiver by Milkify of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Milkify to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent necessary so that the remaining provisions of these Terms continue in full force and effect.

24. Entire Agreement

This Agreement constitutes the entire agreement between you and Milkify regarding the Service and supersedes and replaces any prior agreements between us regarding the Service.

25. Acknowledgement

BY USING THE SERVICE OR ANY OTHER SERVICES PROVIDED BY US, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS AND AGREE TO BE BOUND BY THEM.
